Mauritian bank delivers medium-term facility to refinance acquisition of Guinness Nigeria, signaling deeper Asia-Africa financial integration.

The Mauritius Commercial Bank Limited (MCB) has structured and delivered a USD 51 million medium-term loan facility for Tolaram, the Singapore-headquartered multinational and one of Africa’s largest consumer goods groups.

The facility partially refinances an existing short-term loan contracted in connection with a previously completed acquisition of Guinness Nigeria Plc, allowing Tolaram to transition to a longer-dated funding structure better aligned with its growth objectives.

The transaction, which marks a significant milestone on the Singapore-Nigeria corridor, underscores MCB’s Asia-to-Africa strategy—a focused effort to facilitate trade, investment, and capital flows between two of the world’s fastest-growing regions.

Why This Deal Matters: Asia-to-Africa Strategy in Action

The landmark transaction comes as Asian corporates and financial institutions rapidly expand commercial activity across the African continent. MCB positions itself as the counterparty uniquely able to structure and carry that exposure, drawing on its Mauritian platform and established African footprint.

The facility was accompanied by a tailored covenant package providing Tolaram with financial flexibility while supporting long-term value creation—a structure designed to balance growth ambitions with prudent risk management.

Hebraud: “We Know This Market Well”

Thierry Hebraud, Chief Executive Officer of MCB, emphasized the strategic importance of the deal and the bank’s commitment to developing the Singapore-Nigeria corridor.

“Asian groups are building real industrial capacity in Africa, and they need a bank that understands both ends of the route,” Hebraud said.

“Tolaram has been present in Nigeria for decades, expanding rapidly to other parts of Africa and the Middle East. And it is a market we know well. We intend to keep on developing the Singapore to Nigeria corridor.”

Nigeria is one of MCB’s priority African markets, and the bank maintains a representative office in Lagos, alongside offices in Johannesburg, Nairobi, Paris, and Dubai—underscoring its commitment to providing on-the-ground presence across key financial hubs.

Tolaram: A Pan-African Success Story

Tolaram’s African activity started in Nigeria, where the Group manufactures and distributes consumer products in partnership with international corporations. The Group also owns and operates the Lagos Free Zone, Nigeria’s first privately held free trade zone, integrated with the Lekki Deep Sea Port—a critical infrastructure asset for the country’s trade and logistics ecosystem.

Over the last decade, the Group has expanded to other parts of Africa with a broader vision of being present across the continent and the Middle East.

The USD 51 million facility will support Tolaram’s continued expansion as it strengthens its position as one of Africa’s largest and most diversified consumer goods groups.

Somani: MCB Delivered Speed, Flexibility, and Partnership

Rahul Somani, Group Chief Financial Officer at Tolaram, praised MCB’s professional and pragmatic approach in structuring the deal within a short timeframe.

“MCB played an important role in refinancing the short-term loan and structuring it to a long-term tenure,” Somani said.

“Tolaram is highly impressed with the professional and pragmatic approach and with the solution-finding attitude of the MCB team. The team helped to conclude a refinancing deal (partly) in a short span of time and set a firm tone to the new relationship—not only between MCB and Tolaram but also between the Africa-Asia corridor.”

Somani noted that both sides were keen to ensure a win-win transaction and long-term commitment, which guided the solution-finding attitude to craft tailor-made covenants ensuring that any risks were effectively mitigated.

“The deal marks the beginning of a long relationship,” he added.

MCB’s Integrated Suite of Solutions

Beyond the latest transaction, MCB provides an integrated suite of solutions encompassing trade finance, foreign exchange and financial markets solutions, cash management, lending, and advisory services—enabling clients to capture growth opportunities across both the Asian and African regions.

The bank’s ability to offer comprehensive financial services across multiple jurisdictions makes it a preferred partner for multinational corporations navigating the complexities of cross-border trade and investment.

A Growing Financial Corridor

The Singapore-Nigeria corridor is emerging as a vital artery for trade and investment between Asia and Africa, driven by:

  • Growing Asian corporate interest in African markets
  • Nigeria’s position as Africa’s largest economy and most populous nation
  • Increasing demand for infrastructure financing and consumer goods
  • The strategic importance of the Lagos Free Zone and Lekki Deep Sea Port

MCB’s latest transaction with Tolaram demonstrates the bank’s commitment to facilitating this corridor while supporting the long-term growth ambitions of Asian multinationals operating in Africa.
